These Terms of Service ("Terms") govern your access to and use of the website, communications, consulting services, advisory services, digital resources, and related business offerings provided by BlueprintIQ Inc. d/b/a BlueprintIQ ("BlueprintIQ," "we," "us," or "our").

By accessing our website, communicating with us, scheduling a consultation, requesting services, or engaging BlueprintIQ, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you should not access our website or use our services.

1. Acceptance of Terms

By using our website or services, you confirm that you have read, understood, and agreed to these Terms and our Privacy Policy.

If you are using our services on behalf of a company, organization, or other legal entity, you represent that you have the authority to bind that entity to these Terms. In that case, "you" and "your" refer to both you individually and the organization you represent.

2. Services Description

BlueprintIQ provides strategic advisory, business consulting, technology consulting, marketing strategy, implementation support, and related professional services.

Our services may include, but are not limited to:

  • Business strategy and planning;
  • Technology consulting and implementation advisory;
  • AI and automation advisory;
  • Cloud infrastructure consulting;
  • Cybersecurity and compliance advisory;
  • Unified communications and connectivity advisory;
  • Operations optimization;
  • Data analytics and reporting strategy;
  • Marketing, branding, website, and growth strategy;
  • Vendor-neutral solution sourcing and coordination;
  • Project management and implementation support.

Specific services, deliverables, timelines, responsibilities, fees, and payment terms may be described in a separate proposal, quote, order form, engagement agreement, statement of work, master services agreement, or written authorization.

If there is a conflict between these Terms and a signed agreement or statement of work, the signed agreement or statement of work will control for that specific engagement.

3. Eligibility

You must be at least 18 years old and legally able to enter into a binding agreement.

By using our website or services, you represent and warrant that:

  • You are at least 18 years old;
  • You have the legal authority to agree to these Terms;
  • Any information you provide to BlueprintIQ is accurate and complete;
  • You will use our website and services only for lawful business purposes.

4. Website Use

You agree not to misuse our website, systems, forms, content, or communications channels.

You may not:

  • Use the website for unlawful, fraudulent, harmful, or abusive purposes;
  • Attempt to gain unauthorized access to BlueprintIQ systems, data, accounts, or networks;
  • Introduce viruses, malware, scraping tools, bots, or other harmful technologies;
  • Copy, reproduce, distribute, or exploit website content without permission;
  • Interfere with website functionality, security, or availability;
  • Submit false, misleading, defamatory, infringing, or unlawful information;
  • Use BlueprintIQ's name, logo, brand assets, or content without written permission.

BlueprintIQ reserves the right to restrict or terminate website access for misuse, suspected fraud, security concerns, or violation of these Terms.

5. Engagement Terms

Consulting and professional service engagements may require a signed agreement, proposal approval, statement of work, written authorization, deposit, retainer, or other acceptance method approved by BlueprintIQ.

Engagement documents may define:

  • Scope of services;
  • Deliverables;
  • Project timelines;
  • Milestones;
  • Client responsibilities;
  • Fees and expenses;
  • Payment terms;
  • Confidentiality obligations;
  • Intellectual property rights;
  • Third-party products or vendor responsibilities;
  • Cancellation or termination terms;
  • Any additional project-specific requirements.

BlueprintIQ is not obligated to begin work until all required approvals, agreements, deposits, onboarding materials, access credentials, or project information have been received.

6. Client Responsibilities

You agree to support the engagement in a timely, accurate, and collaborative manner.

Client responsibilities may include:

  • Providing accurate and complete information;
  • Responding to requests for information, approvals, feedback, or access;
  • Designating appropriate decision-makers and points of contact;
  • Providing necessary access to systems, platforms, vendors, accounts, data, and resources;
  • Reviewing and approving deliverables within agreed timeframes;
  • Communicating changes in scope, priorities, deadlines, or business requirements;
  • Maintaining appropriate licenses, permissions, and rights for materials provided to BlueprintIQ;
  • Paying invoices and approved expenses on time.

BlueprintIQ is not responsible for delays, missed deadlines, added costs, or incomplete work caused by delayed client responses, inaccurate information, lack of access, third-party delays, scope changes, or client-side decision delays.

7. Fees, Invoicing, and Payment

Fees and payment terms will be stated in the applicable agreement, proposal, invoice, order form, statement of work, or written communication.

Unless otherwise stated in writing:

  • Invoices are due within thirty (30) days of the invoice date;
  • Deposits, retainers, setup fees, and onboarding fees may be required before work begins;
  • Client-approved expenses, vendor costs, licensing fees, third-party charges, travel expenses, and pass-through costs may be billed separately;
  • Late payments may result in suspension, delay, or termination of services;
  • Client remains responsible for all completed work, active project phases, approved expenses, third-party charges, and outstanding balances.

BlueprintIQ may charge late fees, interest, collection costs, legal fees, or administrative fees where permitted by law and stated in the applicable agreement or invoice.

8. Suspension of Services

BlueprintIQ may suspend services, access, project activity, vendor coordination, or deliverable release if:

  • Payment is overdue;
  • Required information, approvals, access, or materials are not provided;
  • Client violates these Terms or an applicable agreement;
  • Continued work creates a security, legal, ethical, financial, or operational concern;
  • A third-party provider suspends or limits access to required tools, systems, or services.

Suspension does not eliminate the client's responsibility to pay amounts owed.

9. Third-Party Products, Vendors, and Services

BlueprintIQ may recommend, coordinate, source, or assist with third-party products, platforms, carriers, software, vendors, suppliers, cloud services, technology solutions, marketing tools, or service providers.

Unless expressly stated in writing, third-party products and services are provided by the applicable third party, not BlueprintIQ. You acknowledge that:

  • Third-party services may be subject to separate terms, conditions, privacy policies, service-level agreements, warranties, fees, and cancellation rules;
  • BlueprintIQ does not control third-party pricing, availability, performance, outages, support, security, licensing, product changes, refund decisions, or service quality;
  • BlueprintIQ is not responsible for third-party acts, omissions, delays, denials, failures, errors, or service interruptions;
  • Refunds, credits, cancellations, and disputes involving third-party services are subject to the third party's policies;
  • You are responsible for reviewing and complying with third-party agreements.

BlueprintIQ may receive referral fees, residuals, partner compensation, or other compensation from certain vendors or partners unless prohibited by law or agreement.

10. Advisory Nature of Services

BlueprintIQ provides strategic advisory, consulting, and implementation-support services. Our recommendations are intended to help clients make informed business, technology, marketing, and operational decisions.

Unless expressly stated in a signed agreement, BlueprintIQ does not provide legal, tax, accounting, insurance, investment, medical, or regulated professional advice. You should consult qualified licensed professionals for those matters.

You remain responsible for final business decisions, implementation choices, vendor selections, legal compliance, financial decisions, internal approvals, and operational outcomes.

11. No Guarantee of Results

BlueprintIQ works to provide services professionally, strategically, and in alignment with agreed objectives. However, business outcomes depend on many factors outside our control.

BlueprintIQ does not guarantee:

  • Specific revenue growth;
  • Cost savings;
  • Search engine rankings;
  • Advertising performance;
  • Lead volume;
  • Conversion rates;
  • System performance from third-party providers;
  • Security breach prevention;
  • Vendor approval;
  • Financing approval;
  • Regulatory approval;
  • Business profitability;
  • Any particular operational, financial, marketing, or technology result.

Any projections, estimates, benchmarks, timelines, recommendations, or strategic forecasts are provided for planning purposes only and are not guarantees.

12. Intellectual Property

BlueprintIQ Property

BlueprintIQ owns or retains all rights to its pre-existing materials, frameworks, templates, processes, methodologies, strategies, tools, software, documentation, training materials, designs, website content, brand assets, know-how, and proprietary business methods.

You may not copy, resell, distribute, modify, reverse engineer, or exploit BlueprintIQ materials without written permission.

Client Materials

You retain ownership of materials you provide to BlueprintIQ, including logos, brand assets, documents, data, content, credentials, business information, and other client-owned materials.

You represent that you have the rights, licenses, consents, and permissions necessary to provide those materials to BlueprintIQ for use in the engagement.

Work Product and Deliverables

Ownership or license rights for project-specific deliverables will be defined in the applicable agreement or statement of work.

Unless otherwise stated in writing, after full payment has been received:

  • You receive ownership or applicable usage rights to final deliverables created specifically for your project;
  • BlueprintIQ retains ownership of its pre-existing materials, reusable components, internal processes, templates, methods, tools, and general know-how;
  • BlueprintIQ may reuse general knowledge, skills, experience, concepts, and non-confidential methods developed during an engagement.

Drafts, concepts, rejected materials, internal notes, working files, and preliminary versions remain BlueprintIQ property unless otherwise agreed in writing.

13. Confidentiality

BlueprintIQ understands that business, technology, financial, operational, and strategic information may be sensitive.

Each party agrees to use reasonable care to protect confidential information received from the other party and to use that information only for the purpose of the business relationship or engagement.

Confidential information may include:

  • Business plans;
  • Financial information;
  • Customer or vendor information;
  • Technical systems and credentials;
  • Marketing plans;
  • Pricing information;
  • Internal processes;
  • Data, reports, and analytics;
  • Proprietary strategies;
  • Non-public business information.

Confidentiality obligations do not apply to information that:

  • Is publicly available through no fault of the receiving party;
  • Was already known before disclosure;
  • Is independently developed without use of confidential information;
  • Is lawfully received from another source;
  • Must be disclosed by law, court order, subpoena, or government request.

Additional confidentiality terms may be included in a separate nondisclosure agreement, engagement agreement, or statement of work.

14. Data, Access, and Credentials

If you provide BlueprintIQ with access to systems, platforms, accounts, files, data, software, cloud environments, analytics tools, websites, marketing platforms, CRM systems, vendor portals, or other resources, you authorize BlueprintIQ to use that access only as needed to perform the agreed services.

You are responsible for:

  • Ensuring access is properly authorized;
  • Maintaining appropriate administrative controls;
  • Removing access when no longer needed;
  • Maintaining your own backups;
  • Complying with applicable privacy, data protection, employment, industry, and security requirements;
  • Notifying BlueprintIQ of any access restrictions, sensitive data concerns, or compliance obligations.

BlueprintIQ is not responsible for loss, corruption, deletion, or unauthorized access to data unless caused by BlueprintIQ's gross negligence, willful misconduct, or breach of a written agreement.

15. SMS and Text Message Communications

BlueprintIQ may offer SMS/text message communications for appointment reminders, consultation updates, service updates, project notices, review requests, marketing messages, and related communications.

By providing your mobile number and opting in, you authorize BlueprintIQ to send text messages to that number. Consent to receive marketing text messages is not required as a condition of purchasing goods or services.

Message frequency may vary. Message and data rates may apply.

To opt out of SMS/text messages, you may reply STOP to any message. You may also contact BlueprintIQ at [email protected] or call (901) 286-1305 to request removal from SMS communications. Reply HELP for assistance.

BlueprintIQ will honor reasonable opt-out and consent-revocation requests as required by applicable law. After you opt out, you may receive a confirmation message. You may still receive non-marketing communications permitted by law, such as service, safety, transactional, or legally required notices.

BlueprintIQ does not sell, rent, or share mobile phone numbers, SMS opt-in data, or SMS consent information with third parties or affiliates for their own marketing purposes. Mobile information may be shared with service providers only as necessary to deliver SMS messages, manage messaging systems, maintain compliance records, or support related operational functions.

BlueprintIQ is not responsible for delayed, blocked, filtered, undelivered, or failed messages caused by carriers, networks, devices, platform restrictions, incorrect numbers, or circumstances outside our reasonable control.

16. Email and Marketing Communications

By submitting your contact information, requesting services, downloading resources, or communicating with BlueprintIQ, you may receive business communications from us.

You may opt out of marketing emails by using the unsubscribe link included in marketing messages or by contacting [email protected].

Even if you opt out of marketing communications, BlueprintIQ may still send non-marketing messages related to active services, transactions, billing, account administration, security, legal notices, or business operations.

17. Refund Policy

BlueprintIQ is committed to delivering strategic advisory, consulting, technology, marketing, and business solutions with professionalism, transparency, and integrity.

Because our services often involve dedicated consultation time, strategic planning, vendor engagement, research, discovery, implementation support, digital deliverables, custom business work, and reserved project capacity, all sales are considered final unless otherwise stated in a written agreement.

Non-Refundable Services

The following are non-refundable once work has begun, access has been granted, a project phase has started, a deliverable has been provided, or project capacity has been reserved:

  • Business consulting and advisory services;
  • Strategy sessions and discovery meetings;
  • Technology consulting and procurement assistance;
  • AI consulting and automation services;
  • Cloud, telecom, cybersecurity, and infrastructure consulting;
  • Website development, branding, creative, and digital marketing services;
  • Project management and implementation services;
  • Training, onboarding, and professional service engagements;
  • Subscription-based or recurring consulting retainers;
  • Vendor coordination and sourcing services;
  • Custom reports, documents, designs, strategy plans, or digital deliverables.

Deposits, Retainers, and Prepayments

Deposits, retainers, onboarding fees, setup fees, prepaid service amounts, and reserved project fees are non-refundable unless otherwise stated in writing by BlueprintIQ.

Client-Caused Delays or Changes

Refunds will not be issued because of:

  • Client delays;
  • Failure to provide required information, feedback, access, or approvals;
  • Changes in business direction;
  • Internal client staffing changes;
  • Lack of participation;
  • Missed client deadlines;
  • Change of preference after work has begun;
  • Failure to use delivered work or recommendations.

Cancellation of Recurring Services

Clients may request cancellation of future recurring services by submitting written notice to BlueprintIQ at least thirty (30) days before the next billing cycle unless a different notice period is stated in a signed agreement.

Cancellation does not eliminate responsibility for:

  • Completed work;
  • Active project phases;
  • Reserved service periods;
  • Third-party charges;
  • Contracted minimum commitments;
  • Outstanding invoices;
  • Approved expenses;
  • Work performed before the cancellation effective date.

Third-Party Fees

BlueprintIQ may coordinate or facilitate third-party services from vendors, suppliers, software providers, carriers, cloud providers, marketing platforms, technology partners, or other providers.

Refund eligibility for third-party products or services is controlled by the applicable third-party provider's terms and policies. BlueprintIQ is not responsible for refunds, credits, cancellations, service failures, or billing decisions denied or controlled by third-party vendors.

Limited Refund Exceptions

Refunds may be considered only in limited circumstances, including:

  • Duplicate billing or payment error;
  • Services that cannot be delivered due solely to an internal operational issue caused by BlueprintIQ;
  • A refund required by applicable law;
  • A refund specifically approved in writing by BlueprintIQ executive leadership.

Any approved refund will be issued using the original payment method when reasonably possible.

Chargebacks and Payment Disputes

You agree to contact BlueprintIQ directly at [email protected] to resolve billing concerns before initiating a chargeback or payment dispute.

Unauthorized chargebacks for completed work, contracted services, active project phases, third-party costs, or properly billed fees may be treated as a breach of these Terms and may result in suspension of services, collection activity, recovery of fees, or legal action where permitted by law.

18. Warranties and Disclaimers

BlueprintIQ will provide services in a professional and workmanlike manner consistent with generally accepted industry practices for similar services.

Except as expressly stated in a signed agreement, the website, content, resources, recommendations, and services are provided "as is" and "as available." To the maximum extent permitted by law, BlueprintIQ disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, uninterrupted availability, accuracy, and error-free operation.

19. Limitation of Liability

To the maximum extent permitted by law, BlueprintIQ will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or enhanced damages, including lost profits, lost revenue, lost savings, lost business opportunity, loss of goodwill, loss of data, business interruption, or reputational harm.

BlueprintIQ's total liability for any claim arising out of or relating to the website, services, engagement, deliverables, or these Terms will not exceed the amount paid by you to BlueprintIQ for the specific services giving rise to the claim during the three (3) months immediately preceding the event giving rise to the claim.

The limitations in this section apply regardless of the legal theory, whether contract, tort, negligence, strict liability, warranty, statute, or otherwise, even if BlueprintIQ has been advised of the possibility of such damages. Some jurisdictions do not allow certain limitations of liability, so some limitations may not apply to you.

20. Indemnification

You agree to indemnify, defend, and hold harmless BlueprintIQ, its officers, directors, employees, contractors, representatives, agents, partners, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses, including reasonable attorney's fees, arising from or related to:

  • Your use of the website or services;
  • Your violation of these Terms;
  • Your breach of any agreement with BlueprintIQ;
  • Your violation of applicable law;
  • Your infringement or misuse of third-party rights;
  • Materials, data, content, credentials, or information you provide to BlueprintIQ;
  • Your business decisions, implementation choices, or use of recommendations;
  • Third-party claims arising from your products, services, operations, employees, customers, vendors, or users.

21. Termination

Either party may terminate an engagement as provided in the applicable agreement, statement of work, or written terms.

BlueprintIQ may terminate or suspend services immediately if:

  • You fail to pay amounts owed;
  • You violate these Terms or an applicable agreement;
  • You engage in unlawful, abusive, threatening, unethical, or unsafe conduct;
  • Continued performance creates a legal, security, financial, operational, or reputational risk;
  • Required access, information, approvals, or cooperation are not provided.

Upon termination, you remain responsible for payment of all services performed, work completed, active project phases, approved expenses, third-party charges, and amounts owed through the termination date.

Sections concerning payment, intellectual property, confidentiality, data access, third-party services, disclaimers, limitation of liability, indemnification, dispute resolution, and any provisions that by their nature should survive will survive termination.

22. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Tennessee, without regard to conflict-of-law principles.

23. Dispute Resolution

The parties agree to make a good-faith effort to resolve disputes informally before initiating formal proceedings.

If a dispute cannot be resolved informally, the parties agree to attempt mediation in Shelby County, Tennessee, unless otherwise agreed in writing.

If mediation is unsuccessful, disputes shall be resolved through binding arbitration in Memphis, Tennessee, unless prohibited by law or unless BlueprintIQ elects to pursue collection of unpaid amounts, injunctive relief, intellectual property enforcement, or other equitable remedies in court.

Each party is responsible for its own legal fees and costs unless otherwise required by law, awarded by the arbitrator, or provided in a written agreement.

24. Severability

If any provision of these Terms is found invalid, unlawful, or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

25. No Waiver

Failure by BlueprintIQ to enforce any provision of these Terms does not constitute a waiver of that provision or any other right.

26. Assignment

You may not assign or transfer these Terms or any rights or obligations under them without BlueprintIQ's prior written consent.

BlueprintIQ may assign these Terms in connection with a merger, acquisition, restructuring, sale of assets, change of control, or transfer of business operations.

27. Force Majeure

BlueprintIQ will not be liable for delays or failures caused by events outside its reasonable control, including natural disasters, severe weather, power outages, internet or telecommunications failures, cyberattacks, labor disputes, government actions, supply chain disruptions, vendor failures, pandemics, civil unrest, or other events beyond reasonable control.

28. Changes to These Terms

BlueprintIQ may update or modify these Terms from time to time.

When changes are made, we will update the "Last Updated" date. Continued use of our website or services after updated Terms are posted constitutes acceptance of the updated Terms.

Material changes to active signed engagements will be handled according to the applicable agreement or as required by law.

29. Entire Agreement

These Terms, together with the Privacy Policy and any applicable proposal, quote, order form, statement of work, engagement agreement, master services agreement, or written authorization, constitute the entire agreement between you and BlueprintIQ regarding the website and services.

These Terms supersede prior or contemporaneous understandings relating to the same subject matter, except for signed agreements that expressly control a specific engagement.
