These Terms of Service ("Terms") govern your access to and use of the BlueprintIQ Inc. ("BlueprintIQ," "we," "us," or "our") website and consulting services. By accessing our website or engaging our services, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing or using our website and services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use our services.

2. Services Description

BlueprintIQ provides strategic business consulting and advisory services, including but not limited to:

  • Business strategy and planning
  • Technology consulting and implementation
  • AI and automation advisory
  • Cloud infrastructure consulting
  • Operations optimization
  • Marketing and growth strategy

Specific services, deliverables, timelines, and fees will be outlined in separate engagement agreements or statements of work.

3. Eligibility

You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or the organization you represent. By using our services, you represent and warrant that you meet these eligibility requirements.

4. Engagement Terms

Consulting Agreements

All consulting engagements require a signed agreement or statement of work that outlines:

  • Scope of services and deliverables
  • Project timeline and milestones
  • Fees, payment terms, and expenses
  • Confidentiality obligations
  • Intellectual property rights

Payment Terms

Payment terms will be specified in your engagement agreement. Unless otherwise stated, invoices are due within 30 days of receipt. Late payments may be subject to interest charges and may result in suspension of services.

5. Client Responsibilities

As a client, you agree to:

  • Provide accurate and complete information
  • Respond to requests for information in a timely manner
  • Designate appropriate personnel to work with our team
  • Provide necessary access to systems, data, and resources
  • Review and approve deliverables within agreed timeframes
  • Make timely payments as specified in the engagement agreement

6. Intellectual Property

Our Property

All content on our website, including text, graphics, logos, and software, is the property of BlueprintIQ and is protected by copyright, trademark, and other intellectual property laws.

Work Product

Ownership of work product and deliverables will be specified in your engagement agreement. Generally, upon full payment, you will receive ownership or license rights to deliverables created specifically for your project, while we retain ownership of our methodologies, tools, and pre-existing materials.

7. Confidentiality

We understand the sensitive nature of business information. Both parties agree to maintain the confidentiality of proprietary and confidential information shared during the engagement. Specific confidentiality terms will be outlined in your engagement agreement or separate non-disclosure agreement.

8. Warranties and Disclaimers

We will provide services in a professional and workmanlike manner consistent with industry standards. However:

  • Our services are advisory in nature and do not guarantee specific business outcomes
  • Implementation of our recommendations is at your discretion and risk
  • We make no warranties regarding third-party products or services we may recommend
  • Our website and information are provided "as is" without warranties of any kind

9. Limitation of Liability

To the maximum extent permitted by law, BlueprintIQ shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, revenue, or data, arising from your use of our services or website. Our total liability for any claim arising from our services shall not exceed the fees paid by you for the specific services giving rise to the claim.

10. Termination

Either party may terminate an engagement as specified in the engagement agreement. Upon termination, you agree to pay for all services performed and expenses incurred up to the termination date. Certain provisions of these Terms, including confidentiality and intellectual property rights, will survive termination.

11. SMS and Text Message Communications

By subscribing to our SMS marketing or providing your mobile phone number to BlueprintIQ, you agree to receive recurring automated text messages, including order updates, marketing offers, appointment reminders, and review requests — even if your number is on a do-not-call list. Consent to receive SMS messages is not required as a condition of purchasing any goods or services. Message frequency varies.

To unsubscribe: Reply STOP to any message or use the opt-out link included in our messages. Other opt-out methods will not be recognized. Reply HELP for assistance. Please allow up to 10 business days to process opt-out requests. Carrier message and data rates may apply.

We may change our messaging number or short code at any time without notice. BlueprintIQ is not liable for any messages that are not received due to carrier filtering, network issues, or any other reason outside our control.

Your mobile phone number is collected voluntarily and is used solely for the purpose of sending you updates, offers, and other communications you have opted into. We do not share mobile information with third parties for marketing purposes. Opt-in data and consent for SMS messaging is never sold, rented, or transferred to outside parties or affiliates for marketing purposes. Your phone number is shared only with our SMS provider as necessary to deliver messages.

12. Refund Policy

At BlueprintIQ, we are committed to delivering strategic advisory, consulting, technology, and business solutions with professionalism, transparency, and integrity. Because our services involve dedicated consultation time, strategic planning, vendor engagement, implementation support, digital deliverables, and customized business solutions, all sales are considered final unless otherwise stated in a written agreement.

Non-Refundable Services

The following services are non-refundable once work has begun, access has been granted, or deliverables have been provided:

  • Business consulting and advisory services
  • Technology consulting and procurement assistance
  • Strategy sessions and discovery meetings
  • Digital marketing services
  • Website development and branding services
  • AI consulting and automation services
  • Cloud, telecom, cybersecurity, and infrastructure consulting
  • Project management and implementation services
  • Training, onboarding, and professional service engagements
  • Subscription-based or recurring consulting retainers
  • Vendor coordination and sourcing services

Deposits & Prepayments

Any deposits, retainers, onboarding fees, setup fees, or prepaid service amounts are non-refundable unless otherwise specified in writing by BlueprintIQ, Inc.

Client Responsibility

Clients are responsible for:

  • Providing accurate project requirements
  • Responding to requests for information in a timely manner
  • Reviewing deliverables during the engagement process
  • Maintaining communication throughout the project lifecycle

Failure to participate, delays caused by the client, or changes in business direction do not qualify for a refund.

Cancellation of Services

Clients may request cancellation of future recurring services by submitting written notice to BlueprintIQ, Inc. at least thirty (30) days before the next billing cycle unless otherwise defined within a signed agreement. Cancellation requests do not eliminate responsibility for:

  • Completed work
  • Active project phases
  • Third-party costs
  • Contracted minimum commitments
  • Outstanding invoices or balances

Third-Party Services & Vendor Fees

BlueprintIQ, Inc. may coordinate or facilitate services from third-party vendors, suppliers, carriers, software providers, cloud providers, or technology partners. Refund eligibility for those products or services is subject to the policies and terms of the respective third-party provider. BlueprintIQ, Inc. is not responsible for refunds denied by third-party vendors.

Exceptions

Refunds may only be considered under the following limited circumstances:

  • Duplicate billing or payment errors
  • Services that cannot be delivered due to an internal operational issue caused solely by BlueprintIQ, Inc.
  • Situations specifically approved in writing by executive leadership

Any approved refund will be issued using the original payment method whenever possible.

Chargebacks & Payment Disputes

Clients agree to contact BlueprintIQ, Inc. directly to resolve billing concerns before initiating chargebacks or payment disputes with financial institutions. Unauthorized chargebacks for completed or contracted services may be considered a breach of agreement and may result in collection activity or legal action.

Policy Updates

BlueprintIQ, Inc. reserves the right to update or modify this Refund Policy at any time without prior notice. Updated policies become effective immediately upon publication.

13. Indemnification

You agree to indemnify and hold harmless BlueprintIQ, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of our services, violation of these Terms, or infringement of any third-party rights.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Tennessee, without regard to its conflict of law provisions. Any disputes arising from these Terms or our services shall be resolved through:

  1. Good faith negotiations between the parties
  2. Mediation, if negotiations fail
  3. Binding arbitration in Memphis, Tennessee, if mediation is unsuccessful

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website with a new "Last Updated" date. Your continued use of our services after such changes constitutes acceptance of the modified Terms.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

17. Entire Agreement

These Terms, together with any engagement agreement and our Privacy Policy, constitute the entire agreement between you and BlueprintIQ regarding the use of our website and services, superseding any prior agreements.
